Fulfillment Policy

1. Our Commitment to Clients

Our work includes strategies such as search engine optimization, social media management, email marketing, and other digital marketing tactics to engage new and returning customers and help you achieve your annual goals.

2. Description of Services

Kodiak Digital provides monthly services as outlined in individual client agreements. These services may include, but are not limited to:

• SEO (Search Engine Optimization)
• PPC (Pay-Per-Click Advertising)
• Website Design and Development
• Website Hosting and Maintenance
• Social Media Management
• Email Marketing

Our work focuses on increasing search engine visibility, driving targeted traffic, and building brand awareness. Specific deliverables and timelines are detailed in the individual client agreements.

3. Client Responsibilities

To ensure effective service delivery, the client agrees to:

• Provide administrative/backend access to the website for content and structural analysis.
• Grant permissions necessary for optimization and communication with third parties, if applicable.
• Supply relevant materials such as images, logos, trademarks, and other content.
• Guarantee ownership or rights to use any materials provided to Kodiak Digital.

Failure to provide the necessary resources in a timely manner may result in delays or limitations in service outcomes.

4. Payment Terms

• Payment for services is due prior to the start of each month’s work.
• Payment methods include credit card or ACH transfer.
• Payments are non-refundable once services commence for the billed month.

Invoices are subject to a 7-day payment term. Late payments may result in a 10% monthly fee on overdue balances and may pause service delivery until payment is received.

5. Relationship of Parties

Kodiak Digital operates as an independent contractor, not an employee or partner of the client. We retain full autonomy over the methods used to deliver services while consulting with clients as needed to ensure alignment with goals.

6. Confidentiality

Both parties agree to maintain the confidentiality of proprietary and sensitive information shared during the partnership. This obligation remains effective even after the termination of services.

7. Limitations of Control

Due to external factors beyond our control, Kodiak Digital cannot guarantee specific outcomes such as first-page search engine rankings or consistent traffic growth. Search engine algorithms and directory policies are subject to change and may affect performance.

We are not liable for:

• Changes made to the client’s website without prior consultation.
• The use of link farms or external factors that undermine digital marketing efforts.

8. Term and Termination

This agreement is ongoing and may be terminated by either party with a 30-day written notice.

• If written notice is provided with fewer than 30 days until the next billing cycle, the subsequent invoice must still be paid in full.
• Early termination may result in additional fees as outlined in the client agreement.

9. Ownership of Work

• All reports, strategies, and analyses created by Kodiak Digital remain our intellectual property and may not be shared or replicated without our consent.
• Upon the completion of services, deliverables created for the client will be transferred to the client, provided all payments have been made in full.

10. Modifications

Any modifications to this fulfillment policy or the associated agreement must be documented in writing and signed by both parties.

11. Governing Law

This policy is governed by the laws of the State of Illinois, Cook County. Disputes arising from this agreement will be subject to the jurisdiction of the state and federal courts in Cook County.

By engaging Kodiak Digital LLC, you agree to the terms outlined in this fulfillment policy and your individual client agreement.
